Francisco Partners and Clearlake Capital to Acquire Software Integrity Business from Synopsys

Simpson Thacher is representing Francisco Partners in connection with its entry into a definitive agreement, alongside Clearlake Capital Group, L.P., to acquire the Software Integrity Group business from Synopsys, Inc (NASDAQ: SNPS) in an all-cash transaction worth approximately $2.1 billion. Upon completion of the transaction, which is expected to close in the second half of 2024, the Software Integrity Group business will operate as a privately held company.
