Simpson Thacher represented Morgan Stanley & Co. LLC as the sole underwriter in connection with the offering of 12,000,000 shares of common stock of Mister Car Wash, Inc. (“Mister Car Wash”) by certain selling stockholders. The underwriter also has the option to purchase an additional 1,800,000 shares within 30 days of the offering. The offering, which was effected pursuant to a block trade, raised approximately $233 million in aggregate gross proceeds for the selling stockholders and closed on August 26, 2021.
Mister Car Wash is the largest national car wash brand, offering express exterior and interior cleaning services to customers.
