United Group Completes Consent Solicitation

Simpson Thacher represented United Group B.V. (“United Group”), a KKR portfolio company, in connection with the solicitation of consents from the holders of United Group’s 4.375% Senior Secured Notes due 2022 (the “Notes”) to waive and approve an amendment to certain provisions contained in the Notes, as set forth in the consent solicitation statement dated July 24, 2018. The purpose of the waiver and proposed amendment was to allow United Group to use the €200 million that was subject to the special mandatory redemption provisions (the “Special Mandatory Redemption Funds”) to complete the proposed acquisition (the “Acquisition”) by Slovenia Broadband S.à r.l., a wholly owned direct subsidiary of United Group, of all of the issued and outstanding share capital and capital stock of NOVA TV d.d. and Produkcija Plus storitveno podjetje d.o.o. (“POP Slovenia,” which includes its subsidiaries POP TV d.o.o. and Kanal A d.o.o.), from CME Media Enterprises B.V., upon obtaining all necessary antitrust and regulatory approvals in connection with the Acquisition or, in the event that the acquisition of POP Slovenia is not consummated or United Group determines that the acquisition of POP Slovenia is unlikely to close, to instead use the remaining portion of the Special Mandatory Redemption Funds to repay all or a portion of the amounts outstanding under its revolving credit facility and other liquidity lines by waiving and deleting the special mandatory redemption provisions contained in the Notes. United Group entered into a supplemental indenture containing the proposed amendments on August 3, 2018.
