Simpson Thacher represented J.P. Morgan Securities LLC in connection with the initial public offering by Dynamics Special Purpose Corp. (“Dynamics”) of 23,000,000 shares of its Class A common stock, inclusive of the underwriter’s full exercise of its option to purchase additional shares, which raised $230 million in gross proceeds. The initial public offering closed on May 28, 2021.
Dynamics is a newly organized blank check company formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. Dynamics intends to focus on companies across the emerging healthcare value chain, life sciences tools, enabling-software, synthetic biology and novel drug discovery and development platforms that enable applications in prevention, diagnosis, treatment and advanced bio-materials.
